Business Details

This manufacturing business was established in 2004. It specializes in fabricating an unbraced mezzanine floor design targeting larger area floors which are usually sold through main contractors.  It also supplies staircases in most instances and occasionally other fabricated product.  The average project value is c £40k.

Most sales are made via main contractors with input from the end-user.  In the most recent financial year, around a third of total sales were to the same end-user albeit via several different main contractors.  Generally, sales are more widely spread.  There are good opportunities for growth.

The business operates from a small factory conveniently located on a rural estate in the Midlands within easy reach of the M40.

The business is run by 2 full time, office-based professionals.  The other people working in the business are long-term, part-time.  The mezzanine floors are installed by specialist subcontractor teams who have also worked for the company for a number of years.

Management accounts for the most recent year show sales of c £1.4M and an Adjusted EBITDA of nearly £170k.  However, this was an unusually high sales year, principally due to Covid recovery in the construction sector.  The director’s forecasts for the next 2 years are for sales of between £1M and £1.1M generating an EBITDA of between £110k and £125k.  The net asset position as at the date of sale after adjustments is likely to be up to £50k.

The Guide Price for 100% of the shares is £360k on a debt-free, cash-free basis.  The 2 vendors are both willing to stay on for a minimum of 6 months, on a part-time consultancy basis, to assist with the handover.
