Ongoing successful business.
Large investments have been cleared by consistent sales income, helping to create a high profit to costs ratio.
Successful business operation, growing during recession.

A profitable and successful business with huge scope for growth and a very large asset base. The business is making good regular sales, and sales figures are increasing (year on year and month on month during this year). We are showing a good increase in our sales to clients outside the UK.
The business publishes IT training courseware for use in instructor-led training. The media is usually supplied in electronic format and printed out at the client's end in the form of books, manuals and support material for training. It is a very high profit to costs ratio due to the delivery method for the product and due to the absorption of investments having been completed.

Note - our belief is that the most effective form of training is instructor-led training. Classroom or training room based training, using manuals and written teaching aids. For corporate learning, and higher education for adults. We do not, as a rule, advocate online training as a stand-alone learning technology.

Customer Service - we are dedicated to a high level of customer service and respond quickly to customers' needs for courseware in a hurry. We are an approachable business and always happy to talk to customers about special licensing needs and customised courseware.

The business has a large number of database subscribers - trainers and training providers. These descriptive groups are also the predominant client base of the business.

Our courseware is used daily in classrooms and training rooms worldwide, for effective presentation of IT training courses.

The owner is looking to raise finance by selling equity in the business, but retain either an equity share or gain an employment contract. Or both.
The main business asset (apart from the web site, client base and the databases) is the courseware library (see valuation below). The business owner has written, co-written or commissioned all the IT courseware contained in it. Large investments of time and money over the years by the owner have been offset by sales, leaving the business in a position with very high profit margins, strong assets and no debt. The courseware library is fully up to date and comprehensive.

Assets and components of the business:
Courseware Library.
Databases containing subscribers (Trainers and Training providers) and customers.
Recruitment/employment web application integrated in to main web site.
Domain names purchased for possible franchising outside the UK.
Courseware derived products (eg. Www. Ittrainingtoolkit. Co. Uk).

More about the owner:
I have been authoring IT training manuals for 10 years and before that I was a specialist IT trainer for 7 years. I started The Courseware Company with my own library of courseware and invested a lot of money buying-in additional courseware and upgrading old courses. I also invested a lot of money publicising the trainers/training providers web application on the web site, which resulted in the existing database of thousands of users and customers. I like authoring and wish to continue as an author. And possibly have some management or customer service role in the business. But I am willing now to swap some equity for cash, against all the investments I have made over the years. .

Ideally I would like to partner with someone who can inject a large amount of cash in exchange for equity in the business, which has strong asset collateral. I would like to keep working on a contract for the business as author, and with an executive or managerial role, if required. If I were keeping some equity I would prefer a partner who could demonstrate a definite capability or sales resources to help the business increase sales significantly.

Information about the Courseware Library:
About 6 years ago the courseware library became quite sprawling and maintaining updates and adding new releases was becoming more and more time-consuming. So I followed demand and concentrated on Microsoft Office applications courseware. This part of the library of fully up to date and it is the most in-demand courseware in the instructor-led training industry. This is our best seller and my Office 2007 and Office 2010 courseware sells regularly to clients in the UK and worldwide. I also have another few dozen up-to-date courses and some heavyweight (never superseded) technical courses.

Valuation of the Business Assets at £60k - £70k:
IT Courseware library
From the 300 or so courses in the library, I can list 100 that are in-demand, up-to-date and sellable products. Of this 100, I can list 70 that are 'hot' in their demand. Of these, some are more than 1-day training courses, but most are 1-day courses.

One 1-day course takes approximately 8 - 12 hours to upgrade to a new version.

One 1-day training course takes approximately 40 - 50 hours to create (write) from scratch.

The lowest market rate in the UK for trainers and authors for this kind of work is £15 per hour.

This scales up to a reliable valuation of £50k for the 70 courses, as above, in the library of 300 or so courses.

Other assets:
Web site valued at £10k - £15k.
Databases (not been used to market any products other than IT courseware and COURSEWARECO web services. ).
Customer Base.
Sales income and leads in the book.
Value added 'other items', such as domain names, trading names, product ideas and variations.

Opportunities for COURSEWARECO Growth through FRANCHISING:
I added a new element to the site last year which is the offer of franchising the site to regions around the world where English is the spoken language or a strong working language. See the PARTNERS section of our web site for information and concept.

For this reason, I have purchased a number of international domain names that would go with the business package to the new owner.
