BUSINESS DETAILS:

Sale of specialist Noise and Vibration Consultancy

The Business was established in the 80’s and is a profitable, private engineering consultancy, specialising in noise and vibration control. The Company has recently developed and tested innovative techniques and technologies for remote noise and vibration analysis and control that will produce rapid growth in the International market place. Traditionally The business has turned over circa £1m p.a. with an Operating Profit of up to 30%. The significant UK and International growth potential is achievable since noise suppression is a universal requirement. The Business has a record of proven success on which to build. In one instance, applying the company’s ground breaking technology saved a major multinational a seven figure sum on one of its plants, not only reducing noise but also saving energy.

Relations with Blue Chip clients are maintained via regular training courses. The Business team has been strengthened through the recruitment of additional skilled engineers, to increase capacity and reduce the dependency on the selling shareholders (who are both willing to continue for a transition period, if required).

The Market
In an environment where pollution in all forms must be tackled, our client is poised for rapid growth. The traditional approach to excessive noise is through palliative enclosures, enclosures and other costly – and operationally damaging – hardware. The Business has developed the techniques to reduce or eliminate noise at source, often avoiding the need for conventional sound insulation / reduction equipment and reducing typical project costs by 50% or more.

The effect of noise pollution can be devastating both for the environment and for the companies that are responsible for the problem. There are thousands of installations and working operations around the world, causing nuisance to neighbourhoods from large processing plants and construction sites in major cities, to fans, air-conditioning and smaller plant where the Company’s unique “know-how” can be applied.

The Business is also involved in fundamental low noise design for new plant and equipment as well as for existing installations. Management and engineering training for major companies is also a major plank in the maintenance and development of business.

The Business
The company has three main streams of income:
• Consultancy (Health, Safety and Environmental Noise and Vibration Analysis and Engineering Solutions)
• Software and Equipment development and sales
• Training

The core of the company is the established team of skilled and experienced engineers who provide the technical services. This practical expertise also lends credibility to the specialist training. This expertise is coupled with an impressive technical knowledge database and portfolio of highly successful and ground-breaking project case studies. The business currently has a broad portfolio of blue chip customers, currently mainly in the UK, but with exceptional potential for international expansion. With the appropriate marketing and support internationally the company should be capable of growing much faster than currently planned.

Competition
This is virtually a new market. The main competitors to the business are:
• limited in-house operations within major engineering consultancies
• suppliers of equipment, recommending and supplying expensive conventional solutions non-specialist general engineering consultancies and training organisations, for whom Noise and Vibration is a side-line

Consequently, The Business can usually provide solutions that are dramatically lower cost – both in terms of capital expenditure and operational efficiency. Moreover, “Competitors” often call on their services to solve intractable problems and major engineering firms call on the business to run training courses for their own engineers.

Case Studies
The capability of the company is best illustrated through case studies. The following are a number of abbreviated examples of how the business expertise has been applied in different areas.

• The Technology 1: Environmental Noise Control
The business has developed “New Technology” that is applicable to a wide range of infrastructure and construction projects. We suspect that this approach will become part of regulatory best practice in the UK over the next year and has worldwide potential.

A recent customer UK Railway Infrastructure Maintenance Project had an abatement notice placed on it. Our Clients applied “New Technology” which allowed the abatement notice to be lifted, saving the company an estimated £200K at a cost of £10K – and without a single noise complaint being received.

• The Technology 2: Plant Noise Control
Our Client has developed a suite of innovative engineering technologies that can be applied across a wide range of noise control projects, to reduce the costs by 50% or more.

The applications of this technology can lead to improving competitive tendering by reducing the cost of the noise control packages. For example, the noise control package for a typical project for one company often comprises c 50% of the overall cost. Use of this technology would be likely to reduce their overall tender price by 20%.

• The Technology 3: Environmental Noise Control
The Business has developed unique expertise and technologies whereby it can analyse noise remotely via internet and email to produce initial designs and costs for remediation. In many cases it may not even be necessary for the business personnel to visit site. Working with clients’ engineers who capture on-site data using specialised technologies, the business processes this information at the UK facility to diagnose the cause(s) of the noise problem. The processed results are analysed and potential solutions identified. The business procedure ensures that a best practice set of detailed recommendations is specified and supplied to the client with full installation instructions and testing specifications. Once the installation is complete, with on-line support available if required, more data is captured for final analysis and adjustments if necessary. This Award winning approach not only eliminates the costs and resources involved in travel and site time, but it has also eliminated the efficiency and operational problems associated with traditional solutions.

This approach has the potential to drive a rapid expansion of international business serviced from the UK site.

In a recent USA project, involving noise suppression, the client had already spent c $3M on a conventional solution, which had had a disastrous effect on the plant’s efficiency. The business was approached and successfully implemented its innovative technology at an estimated cost of $100K. This eliminated the noise problem with no effect on plant efficiency and was achieved, moreover, over the internet without a site visit.

We believe that this customer - and many others with similar problems – would pay considerably more to resolve the problem using this new technology rather than wasting money on the conventional (and ineffective) solutions generally offered by other companies across the planet.

• The Technology 4: Vibration Control
As with noise, the company has developed the expertise and techniques to diagnose vibration problems remotely by email or over the internet. A range of innovative vibration control techniques can then be used to resolve problems – often without a site visit.

The Forecast
The largest potential for rapid growth lies in the field of environmental noise control on large (and quite common) national and international projects. The combination of new technology and procedures involved has already been very successfully trialled for both national and international clients.

A second area of high potential growth lies with the innovative techniques and technology developed over the last year to manage noise from infrastructure and construction / demolition projects. Applicable world-wide, implementation has already led to clients being put forward for environmental awards.

This forecast has been prepared on a max and min basis for the Big Companies as the growth in sales is difficult to forecast, depending on the quality of International links.

This shows profits rising to a minimum of £1m or 40% of sales and maximum of £1.5m or 43% of sales by 2013/14.

Note: Historically profits have been at 32% of sales.
