The joint venture is the park site(over 6 Acres) at Cerrig y Drudion on the London to Holyhead A5.
The new partner(s) pays 25k upfront to join the partnership.
The new company will raise the 200k to buy the property freehold.
The partners form a new company called ie The Saracens Park Ltd (or other) with 50/50 share issue. Then upon a successful application of the companies required planning permission, the partnership will then pay the owner a further 25k uplift on the proviso that the valuation of the property increases to make this payment viable.
Conditions
1. The owner will use the purchase money from the new partnership, to clear his own mortgage agreements and charges and if required the owner will allow (in the short term) an equity charge on another of his properties to support the new loan for the site until further development funds are raised independently.
2. The owner will retain by transfer the small parcel of land on the village side of the A5. This land is currently on the deeds to the main site.
3. The owner will give you the first option to purchase his shares in the new company at a pre-agreed price (or at new valuation successful planning application) within 1 year of this agreement.
