I never had the opportunity to begin marketing the brand in an appropriate way and so it remains a fresh opportunity to bring a ready made product to market. The business is currently in sole trader form, with myself as owner. I intended to form a limited company but with my plans shelved I never got around to it. There are no business premises and the business is not currently trading (nor has it previously traded) in any form. There are 200+ t-shirts in 2 styles and across 3 colours. They are printed on top quality US made 'fruit of the loom' t-shirts, and have been fitted with bespoke labels at the back of the neck to strengthen the branding. RRP for t-shirts of this type would be £15-20 in skatewear shops. In addition there are around 50 seconds (problems in manufacturing by the printers resulted in slightly off-centre printing). The problems are minor but I felt that the quality of the product was important enough that they should not be sold, although they could be used for marketing purposes. There are also about 200 top quality self adhesive vinyl stickers (about 10cm square), 1000 paper self adhesive stickers (about 6cm square) and about 700 branded t-shirt labels of the type sown into the existing t-shirts. I will also supply all designs on CD and the receipt from the artist who designed them, confirming he relinquishes copyright control to the company. I propose to either:
a) sell the entire company
b) sell a majority share in the company on the basis that:
i) the new majority owner will pay for all costs to form a new limited company which will purchase the partnership. They will own a majority shareholding in this company (in the region of 74-90%) and me the other
ii) I will remain as a minority shareholder only and not be a director. All day-to-day running of the company will be the majority shareholder's responsibility. In this situation there will be other requirements and conditions (for example dedication of time and getting the product to market etc) but the price would be significantly lower to allow for the fact that I would continue to be entitled to profits by way of dividend.
